Terms of Service

1. The Service

Silkwave is a software application that provides a unified interface for you to interact with various third-party generative artificial intelligence models and services (e.g., OpenAI, Google, Anthropic, Ollama, etc.), hereafter referred to as "Third-Party AI Providers."

Key Acknowledgment: The App is a client interface. It does not provide the underlying AI services. To use the App, you are required to provide your own Application Programming Interface (API) keys from the Third-Party AI Providers you wish to use. Your use of these third-party services is governed by their respective terms of service and privacy policies.

2. Subscriptions and Payment

• Free Version: The App may be used for free with a daily limit of ten (10) messages. We reserve the right to change this limit at any time.
• Pro Subscription: To access unlimited messaging, you may purchase a "Silkwave Pro" subscription, available on a monthly or yearly basis.
• Billing: All payments and subscriptions are processed through Apple's App Store and are subject to Apple's terms and conditions. You are responsible for managing your subscription, including cancellations, through your Apple ID account settings.
• Free Trial: We may offer a one-time free trial for the Pro Subscription. At the end of the trial period, your subscription will automatically renew and you will be charged the subscription fee unless you cancel before the trial ends.
• Auto-Renewal: Your Pro Subscription will automatically renew at the end of each subscription period unless you cancel it at least 24 hours before the end of the current period.

3. Third-Party AI Providers

Your relationship with any Third-Party AI Provider is strictly between you and that provider. You agree that:

• You will comply with the terms of service, acceptable use policies, and all other policies of any Third-Party AI Provider you connect to through the App.
• You are solely responsible for any fees or charges incurred from your use of these Third-Party AI Providers (e.g., API usage costs). Silkwave is not responsible for these fees.
• We do not control and are not responsible for the output, accuracy, availability, security, or any other aspect of the services provided by Third-Party AI Providers. The content generated is a product of those services, not Silkwave.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Generate, transmit, or store content that is illegal, harmful, threatening, defamatory, obscene, infringing, or harassing.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the App.
• Introduce any viruses, trojan horses, worms, or other malicious software.
• Violate the terms of service of any Third-Party AI Provider.
• Use the App for any purpose other than its intended use as a client interface for AI models.

5. Intellectual Property

Our Property: We own all rights, title, and interest in and to the App, including its design, branding, features, and underlying code. You are granted a limited, non-exclusive, non-transferable license to use the App in accordance with these Terms.

Your Content: You retain all rights to the text, images, or other data you input into the App ("Input"). You are solely responsible for your Input. We do not claim any ownership over the content generated by the Third-Party AI Providers in response to your Input ("Output"). Your rights to the Output are governed by your agreement with the respective Third-Party AI Provider.

6. Termination

We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You can terminate your use of the App at any time by deleting it from your device and canceling your subscription through your Apple ID account settings.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAKHSHI MNATSAKANYAN OR SILKWAVE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF THE SERVICE; (B) YOUR USE OF ANY THIRD-PARTY AI PROVIDER; (C) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SYSTEMS.

OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Republic of Armenia, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice of such changes, such as by updating the "Last Updated" date at the top of these Terms. Your continued use of the App after any modification constitutes your acceptance of the new Terms.
